The terms that apply when you use any HALP website or service.

TERMS OF SERVICE

1. Introduction and Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you and House And Land Packages Pty Ltd (ABN 92 631 641 408) ("HALP", "we", "us", or "our"). By accessing or using any of our websites, platforms, or services, you agree to be bound by these Terms. For Advertisers (including agents, builders, and developers), these Terms also include the Listing Agreement, which is incorporated by reference. In the event of any inconsistency between these Terms and the Listing Agreement regarding listing specifics, the Listing Agreement shall prevail.

These Terms apply to all HALP platforms, including www.halp.com.au, www.boutiquedevelopments.com.au, associated mobile applications, and any related websites, features, or services within our network.

By accessing or using our services, you acknowledge that you have read and understood these Terms, agree to be bound by these Terms and our Privacy Policy, represent that you are at least 18 years of age, and represent that you have the authority to enter into this agreement.

We reserve the right to modify these Terms at any time. When we make changes we will update the "Last Updated" date, notify registered users via email, and display material changes prominently. Changes take effect immediately upon posting (or as otherwise specified). Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.

2. Description of Services

HALP operates specialised property discovery and business directory platforms providing house and land package listings and searches, off-the-plan property information, new development project details, boutique and luxury property showcases, school zone integration and mapping, property calculators and tools, mortgage broker connections, property market insights and guides, professional business listings (freemium model), enhanced visibility for premium subscribers, lead generation and inquiry management, business profile management, multi-platform advertising reach, property alerts and notifications, saved searches and favourites, mortgage and finance calculators, educational content, market research and data, and CRM integration for business users.

**Nature of service:** HALP is an information and advertising platform. We facilitate connections between property seekers and property providers, aggregate and display property and business information, provide tools to assist in research and decision-making, and are not a real estate agent, developer, builder, or financial advisor.

**Lead routing:** when you submit an inquiry about a property listing, your inquiry goes directly to the listing agent, developer, or builder. HALP does not store, process, or access property-specific inquiries. When you use our platform inquiry forms (Contact Us, Join Us, Advertise With Us), your information is collected and managed by HALP; inquiries are stored in our CRM systems (Pipedrive, ActiveCampaign). Supporting information may be stored in Google Drive. This Privacy Policy governs how we handle these inquiries.

**No agency relationship:** HALP does not act as your agent, provide property, financial, legal, or tax advice, or guarantee the accuracy of third-party listings.

**Service availability:** services are provided "as is" and "as available"; we may modify, suspend, or discontinue services at any time. Scheduled maintenance may cause temporary interruptions. Our services are delivered through AWS (hosting and infrastructure and backups), Synergywholesale (domain hosting), Google Workspace (business email), Stripe (payment gateway), Pipedrive and ActiveCampaign (CRM), and Zapier (automation). These providers may change from time to time.

3. User Accounts and Registration

To access certain features, you may need to create an account. You must provide accurate, current, and complete information, maintain the confidentiality of your credentials, be at least 18 years of age, only create one account per person, and provide a valid ABN/ACN for business accounts. You are responsible for all activity under your account. We may suspend or terminate your account if you breach these Terms, provide false or misleading information, use the account for fraudulent or illegal activities, fail to pay applicable fees, or remain inactive for an extended period. You may terminate your account at any time by contacting support@halp.com.au.

4. User Conduct and Prohibited Activities

You agree to comply with all applicable laws and regulations, use services only for lawful purposes, provide accurate and truthful information, respect the intellectual property rights of others, and act in good faith. You must not use automated systems (bots, scrapers) without authorisation, interfere with or disrupt platform functionality, attempt unauthorised access, reverse engineer platform components, circumvent security measures, post false or misleading information, upload viruses or harmful code, transmit spam, engage in phishing, impersonate any person or entity, violate applicable laws, infringe intellectual property rights, engage in money laundering or fraud, harass or abuse other users, post discriminatory content, resell or redistribute our services without authorisation, use our platform to compete with our business, aggregate or scrape listings for competing platforms, or create multiple accounts to circumvent restrictions. Violations may result in immediate account suspension or termination, removal of content or listings, legal action, reporting to law enforcement, and permanent ban.

5. Property Listings and Information

Property listings and information are provided and owned by property developers and builders, real estate agents and agencies, project marketing companies, and third-party data providers. HALP does not own or control third-party listings, verify the accuracy of all listing information, endorse any particular property or provider, or guarantee availability or pricing.

Property information may change without notice; prices, availability, and specifications are subject to change; images and renderings may not reflect the final product; land sizes and dimensions are approximate; school zone information is provided for reference only. Always verify critical information directly with the property provider before making decisions.

**School zone information** is sourced from government databases and third-party providers, provided for general reference only, and subject to change. Always verify school catchment zones directly with the relevant education department and individual schools before making property purchase decisions.

6. Business Directory Listings

To advertise in our business directory you must hold a valid ABN or ACN, be a legitimate operating business, comply with all applicable laws, provide accurate business information, and hold necessary licenses. Listings must accurately describe your services, include current contact information, use your own business name and logo, comply with Australian Consumer Law, and not contain misleading or deceptive claims. Business listings must not promote illegal goods or services, make false or unsubstantiated claims, violate professional codes of conduct, engage in bait advertising, contain discriminatory content, or infringe third-party IP.

Free listings provide basic directory presence. Premium subscriptions include enhanced visibility and features, require monthly or annual payment, are subject to a separate subscription agreement, auto-renew unless cancelled, and are refundable as stated in subscription terms.

7. Payment Terms (Advertiser Subscriptions)

Pricing for subscriptions, listings, and other services is as displayed on our website or in the applicable Listing Agreement. Pricing is subject to change with 30 days notice. All fees are in Australian Dollars (AUD). Prices are displayed exclusive of GST unless otherwise stated, and GST will be added at checkout where applicable. Payments are processed via Stripe (PCI-DSS Level 1 certified) with automatic recurring billing for subscriptions and secure encrypted transactions. Subscriptions auto-renew unless cancelled. You may cancel any time before the next billing date; cancellation takes effect at the end of the current billing period. No refunds for voluntary cancellations. Refunds for technical issues preventing service access are pro-rata and processed within 14 business days. If payment fails we will attempt to process multiple times; your account may be suspended after 7 days and your listing removed after 14 days.

8. Intellectual Property Rights

All content and materials on our platforms are owned by HALP or licensed to us, including logos and trademarks ("HALP", "House And Land Packages", "Boutique Developments"), website design, software, code, algorithms, text, graphics, images, videos, data compilations, databases, and school zone data aggregations. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our platforms for personal, non-commercial purposes. You may not reproduce, distribute, or publicly display our content without permission; modify, adapt, or create derivative works; use our content for commercial purposes; or remove copyright or proprietary notices. When you submit user-generated content you retain ownership but grant us a worldwide, royalty-free license to use, reproduce, modify, and display it. 9. Disclaimers and Limitations

**No professional advice.** HALP does not provide financial, mortgage, or investment advice. Our calculators and tools provide estimates only for general information. We do not provide legal or tax advice — consult a qualified solicitor, tax professional, or licensed financial advisor. We are not licensed real estate agents; we do not provide valuations, buying or selling advice, or guarantee investment returns.

**Third-party relationships.** HALP facilitates connections but does not control the conduct of third parties, is not responsible for their actions, does not guarantee the quality of third-party services, and is not party to contracts between you and third parties.

**Data accuracy.** Information may contain errors or omissions; property data may be outdated; school information may change; market data is for reference only.

**Service availability.** We do not guarantee continuous, uninterrupted access, error-free operation, availability of specific features, compatibility with all devices or browsers, or absence of viruses. Our platform relies on third-party services including AWS and Stripe.

10. Limitation of Liability

To the maximum extent permitted by law, HALP and its directors, officers, employees, and agents are not liable for loss of profits or revenue, loss of data or information, loss of business opportunities, cost of substitute services, consequential losses, incidental damages, special damages, or punitive damages arising from your use or inability to use our services, errors or omissions in content, third-party conduct or content, unauthorised access to your account, service interruptions or delays, or property transactions you enter into. Where liability cannot be excluded by law, our total liability is limited to $100 AUD for free services, or for paid services the lesser of $1,000 AUD or the amount you paid us in the prior 12 months. Nothing excludes rights under the Australian Consumer Law. You agree to indemnify and hold harmless HALP from any claims, damages, losses, liabilities and expenses arising from your breach of these Terms, your violation of any law or third-party rights, your use of our services, content you submit, or your interactions with other users or third parties.

11. Dispute Resolution

Before initiating legal proceedings, contact legal@halp.com.au with details of your dispute and allow 30 days for informal resolution. These Terms are governed by the laws of New South Wales, Australia; you submit to the exclusive jurisdiction of the courts of New South Wales. Optional arbitration in Sydney under Australian Dispute Resolution Association (ADRA) rules is available for disputes not resolved informally. To the extent permitted by law, disputes will be resolved on an individual basis and you waive the right to participate in class actions. Either party may seek injunctive or equitable relief in court for IP infringement, breach of confidentiality, violation of prohibited activities, or irreparable harm.

12. General Provisions

These Terms, together with our Privacy Policy and any other terms referenced herein, constitute the entire agreement between you and HALP. If any provision is found invalid or unenforceable, it will be limited or eliminated to the minimum extent necessary and the remaining provisions continue in full force. Our failure to enforce any provision does not waive our right to enforce it in future. You may not assign these Terms or your account without our written consent. These Terms are written in English; any translation is for convenience only.

13. Special Terms for Specific Services

**Mortgage calculators** provide estimates only, not pre-approvals, and should not replace professional financial advice. **School zone data** is aggregated from public government databases, provided "as is", and subject to change — always verify with the education department and specific school. **Property alerts** — by subscribing you consent to receive emails and SMS notifications. **Home loan referrals** — we may receive a referral fee; brokers are independent third parties and we do not guarantee loan approval.

15. Property Inquiry Flow

**Direct to advertiser routing.** When you submit a property listing inquiry: your information is sent directly to the listing agent/developer; HALP does not store, read, or process your inquiry; the advertiser becomes responsible for your information; the advertiser's privacy policy governs their use of your data; HALP cannot retrieve, modify, or delete inquiries sent to advertisers.

**Platform inquiry forms.** When you use Contact Us, Join Us, or Advertise With Us forms, we collect and store your information in our CRM systems (Pipedrive, ActiveCampaign); supporting documents may be stored in Google Drive; our Privacy Policy governs this data. By using any inquiry form you acknowledge that property listing inquiries go directly to advertisers (not HALP), and you should review advertiser privacy policies before submitting inquiries.

16. Definitions

**Platform:** all HALP websites, mobile applications, and related services. **User:** any person or entity that accesses or uses our services. **Content:** all information, text, images, data, software, and materials on our platforms. **Property Provider:** developers, builders, real estate agents, and other entities listing properties. **Advertiser:** professionals and businesses advertising in our directory. **Personal Information:** has the meaning given in the Privacy Act 1988. **Listing:** any property advertisement, business directory entry, or content posted on our platforms.
